๐Ÿ“ Clause 1 of Form 3CD: "Name of the Assessee" – What to Report?

At first glance, Clause 1 of Form 3CD seems simple — just write the name of the assessee. But in practice, especially in cases like name changes or proprietorship businesses, this clause can cause confusion. ๐Ÿค”

Let’s walk through what’s expected, with real-world scenarios and best practices.

๐Ÿ” What is Clause 1 of Form 3CD?

Clause 1 requires the name of the assessee being audited. That means:

  • It should match the name in the PAN records

  • For companies/firms – it must align with legal registration documents

  • For individuals (including proprietors) – it must reflect the PAN holder’s name

๐Ÿ‘ค Proprietorship Cases: Legal Name vs. Business Name

This is where many go wrong.

In a proprietorship, the business and the proprietor are the same legal entity. So:

  • Legal name = Name of the individual (as per PAN)

  • Business name = Trade name used for branding or business

✅ What to Report in Clause 1?

๐Ÿ‘‰ Report the name of the proprietor (as per PAN), NOT the business/trade name.

๐Ÿ“˜ Example:
Mr. Ramesh Kumar runs a shop called “Ramesh Electronics”.

  • PAN is in the name of Ramesh Kumar

  • Clause 1 should say: Ramesh Kumar

๐Ÿ’ก You can mention the business name in brackets for clarity:
➡️ Ramesh Kumar (carrying on business as Ramesh Electronics)

๐Ÿ” Name Change Scenarios

1️⃣ Name Changed During the Financial Year

  • Report the new legal name

  • Disclose the previous name in audit notes or observations

  • Keep documentation ready: amended registration, government approval, etc.

๐Ÿ“˜ Example:
ABC Pvt Ltd changed its name to XYZ Pvt Ltd on 1 Jan 2025.
➡️ Report: XYZ Pvt Ltd
๐Ÿ“ Note: Formerly known as ABC Pvt Ltd until 31-Dec-2024.

2️⃣ Name Changed After FY but Before Audit

  • Report the new name (as per the latest legal documents)

  • Disclose the name as it existed during the year for audit clarity

๐Ÿ“˜ Example:
Name changed on 1 July 2025 (after FY 2024–25)
➡️ Report: XYZ Pvt Ltd
๐Ÿ“ Note: Name changed from ABC Pvt Ltd on 01-Jul-2025.

✅ Summary Table

Assessee Type What to Report in Clause 1 Notes
Company / LLP / Firm Name as per PAN & ROC Disclose any legal name change
Proprietorship Name of proprietor (as per PAN) Can mention business name in brackets
Name changed during FY New name Add footnote with old name
Name changed after FY New name Mention effective date of change

๐Ÿงพ Final Tip

Before filing:

✔️ Verify name on PAN
✔️ Match with business registration (ROC, GST, etc.)
✔️ Disclose changes clearly in audit remarks
✔️ For proprietors, never use trade name alone in Clause 1
